Ludi AI Features Addendum

This Addendum is between Deqo Software Ltd trading as Ludi, a company registered in England and Wales under company number 11594409 with its registered office at 167–169 Great Portland Street, 5th Floor, London, England, W1W 5PF ("we", "us", or "our") and the Customer named in this Addendum ("you" or "your"). It forms part of and is subject to the terms governing your use of the Ludi platform ("Ludi"), including our standard Terms of Service or service agreement (as applicable), data processing agreement, and our Privacy Policy, as may be updated from time to time (together, the "Agreement").

This Addendum supplements the Agreement. In the event of any conflict with the Agreement, this Addendum will prevail in respect of AI Features only.

Capitalised terms not defined in this Addendum have the meanings given in the Agreement.

1. Definitions

In this Addendum, the following terms have the following meanings:

"AI Features" has the meaning given to it in clause 2.1;

"Customer Data" means any data, content or information submitted to or processed through the AI Features;

"Data Protection Legislation" means all applicable legislation in force from time to time in the United Kingdom applicable to data protection and privacy including, but not limited to, the retained EU law version of the General Data Protection Regulation ((EU) 2016/679), as it forms part of the law of England and Wales, Scotland, and Northern Ireland by virtue of section 3 of the European Union (Withdrawal) Act 2018) ("UK GDPR"); the Data Protection Act 2018 (and regulations made thereunder); and the Privacy and Electronic Communications Regulations 2003 as amended;

"Input" means any Customer Data submitted to the AI Features;

"Output" means any content or results generated by the AI Features in response to Input; and

"personal data", "data controller", "data processor", "special category data" and "sub-processor" have the meanings defined in the Data Protection Legislation.

2. Purpose and Scope

2.1 This Addendum sets out the terms that apply when you choose to use AI-powered features within Ludi ("AI Features"). The AI Features use large language models (LLMs) and related artificial intelligence technologies to assist with collaboration, analysis, reporting, and automation in your workspace.

2.2 AI Features may include, without limitation:

  • grouping, summarising, or analysing Board content;
  • generating meeting notes or session reports;
  • generating content;
  • detecting patterns, themes, or sentiment across boards, users, or teams;
  • producing benchmarks, insights, or usage statistics;
  • generating or configuring boards or templates based on User input; and
  • other evolving AI-driven functionality intended to enhance the product experience.

2.3 Use of AI Features is entirely optional and available only to Subscribers who explicitly opt in.

2.4 AI Features form part of the Services provided under the Agreement and remain subject to the Agreement, including any applicable limitations of liability.

2.5 We may modify, restrict, or withdraw AI Features at any time, acting reasonably and in accordance with the Agreement.

3. Data Processing and Sub-Processors

3.1 When enabled, AI Features may send certain Customer Data to sub-processors for processing. The categories of data that may be processed include:

  • Board Content – Content created or generated on a Board;
  • Person Identifiers – user name, email address, user ID, or profile picture;
  • Board Metadata – Board name, creation and update timestamps; and
  • Team and Company Data – team and company names, IDs, and related metadata.

3.2 To the extent that Customer Data includes personal data, we act as a data processor and process such personal data in accordance with Data Protection Legislation and any applicable data processing terms forming part of the Agreement. This Addendum supplements (and does not replace) such data processing terms and we will implement appropriate technical and organisational measures to protect such personal data in line with our standard security practices.

3.3 You must ensure that your use, and the use by Users under your Account, of AI Features complies with Data Protection Legislation, and you must ensure and procure that Users do not upload or include any sensitive or special category data unless expressly agreed in writing with us. AI Features are not designed for such data.

3.4 We may use one or more of the following sub-processors to provide the AI Features:

3.5 Each sub-processor acts solely on our documented instructions and is bound by appropriate contractual safeguards, including where applicable the EU Standard Contractual Clauses and/or the UK International Data Transfer Addendum, in each case where applicable.

3.6 We will maintain and update our list of sub-processors from time to time. We will give you reasonable advance notice of any changes to the sub-processors. If you reasonably object to the use of certain sub-processors, you may disable the AI Features through your Account.

3.7 We do not use Customer Data to train our own AI models. Third party AI providers may process Customer Data in accordance with their own terms, as made available to you.

3.8 You acknowledge that AI Features may be susceptible to misuse, including prompt injection or other malicious inputs, and you must not knowingly input or submit any Content intended to manipulate, disrupt or extract data from the AI Features or underlying systems.

4. Customer API Keys

4.1 You may choose to use your own API credentials for one or more supported AI providers. When doing so, you act as the data controller for all personal data processed through that API key, and we act only on your lawful and reasonable instructions as a data processor.

4.2 You are solely responsible for your use of any third party AI provider, including compliance with its terms and Data Protection Legislation.

4.3 To the extent permitted by law, we bear no responsibility or liability for processing carried out via API keys that you have supplied.

5. Pricing and Availability

5.1 Use of AI Features is subject to pricing, plan and term eligibility determined by us from time to time.

5.2 Current pricing and applicable usage limits may be made available on request or published within Ludi or related materials.

5.3 We may modify such pricing, limits, or availability in accordance with the Agreement, and continued use of AI Features after any change constitutes acceptance of the updated terms.

6. Use Restrictions and Customer Responsibilities

6.1 You must not, and you must ensure and procure that Users do not, use AI Features:

  • in breach of any applicable law or regulation;
  • to input or process unlawful, infringing, defamatory or harmful content;
  • to attempt to reverse engineer, extract or replicate any underlying models or systems; or
  • in any way that infringes the rights of any third party.

6.2 You are responsible for reviewing and validating all Output generated by AI Features and must not rely on such Output without appropriate human oversight.

7. Liability and Disclaimer

7.1 AI Features are developing technologies and are provided on an "as is" and "as available" basis.

7.2 Outputs may be inaccurate, incomplete, biased or unsuitable for your intended use. We do not guarantee the accuracy, reliability, or suitability of any Outputs.

7.3 You are solely responsible for your use of any Output, including any decisions or actions taken based on it.

7.4 We do not warrant that Outputs will be non-infringing or that you will obtain any intellectual property rights in Outputs.

7.5 To the extent permitted by law, we disclaim all liability arising from or related to the use of AI Features, subject always to the limitations and exclusions set out in the Agreement.

7.6 You acknowledge that AI Features rely on third party models and data sources and we do not make any representation or warranty as to the origin, ownership or licensing of any training data used by such third parties.

7.7 You are responsible for ensuring that your use of any Output does not infringe the rights of any third party or comply with any applicable laws or regulations.

7.8 As between you and us, you own any Outputs generated through your use of the AI Features. We do not guarantee that Outputs are unique or capable of protection by intellectual property rights.

8. Duration and Withdrawal

8.1 This Addendum takes effect when you enable or use any AI Feature and continues until you disable them or cease using the Services.

9. Changes to this Addendum

9.1 We may update or modify this Addendum from time to time to reflect changes in its AI Features, applicable law, or business practices. The revised version will take effect upon posting or notification to you, unless a later effective date is specified. Material changes will be communicated in advance where reasonably practicable. Continued use of any AI Feature after the effective date of an updated Addendum constitutes acceptance of the revised terms.

10. Acceptance

10.1 By enabling or using any AI Feature, you agree to be bound by this Addendum.
